1. Acceptance of terms
These Terms of Service ("Terms") are a binding agreement between you and SOMA governing your access to and use of the SOMA application, the website at somaintelligence.app, the waitlist, and related services (together, the "Service"). SOMA is provided by SOMA ("SOMA", "we", "us") — [Registered company name and address — fill before launch]. By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The service & informational purposes only
SOMA is a Training Intelligence platform (also described as Adaptive Performance Intelligence). It uses recovery, sleep, activity, and training data to generate personalized training recommendations and adaptive training decisions — such as how much volume to do, how hard to push, when to add load, and when to deload.
The Service — including recovery and readiness reads, training load and fatigue estimates, programs, and any insights or recommendations — is provided for general informational and training purposes only. Outputs are estimates derived from the data available to SOMA and may be incomplete or inaccurate. You should not rely on the Service as the sole basis for any decision affecting your health, training, or wellbeing.
3. Not medical advice
SOMA is not a medical device and does not provide medical advice, diagnosis, or treatment. Nothing in the Service is intended to diagnose, treat, cure, or prevent any disease or condition. The Service does not replace the advice of a physician, physical therapist, or other qualified health professional.
Consult a qualified professional before beginning any exercise program, or if you have any medical condition, symptom, injury, or concern. Never disregard or delay seeking professional advice because of something you saw in SOMA. If you think you may have a medical emergency, contact your doctor or emergency services immediately.
4. Eligibility & accounts
You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service. If you create an account, you are responsible for keeping your credentials secure and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date, and to notify us promptly of any unauthorized use.
5. User responsibility
You are solely responsible for how you use the Service and for your own health and safety. In particular, you acknowledge and agree that:
- physical training carries inherent risks, including the risk of injury;
- you will train within your own limits and stop if you experience pain, dizziness, or distress;
- you are responsible for the accuracy of the data you enter and the devices you connect, since SOMA's outputs are only as reliable as the data it receives; and
- any action you take based on the Service is at your own discretion and risk.
6. Wearables & third-party data
SOMA can read data from third-party platforms and devices you connect — initially Apple Health (including Apple Watch) and Oura, with others such as WHOOP, Garmin, Polar, and Coros planned. Your use of those platforms and devices is governed by their own terms and privacy policies, and your authorization through them.
We are not responsible for the accuracy, availability, or practices of third-party devices or services, and we do not control whether they remain available to SOMA. We may add, change, or remove integrations at our discretion, and we do not guarantee that any particular integration will be released or remain available.
7. Subscriptions & billing
Placeholder — subject to change before launch. SOMA is free to join via the waitlist, and no payment is required today. Some features may in the future be offered on a paid basis through a subscription. If and when paid plans are introduced, the applicable pricing, billing cycle, renewal, free-trial, and cancellation terms will be presented to you at the point of purchase and may be processed through a third-party platform such as the Apple App Store, subject to that platform's billing rules. Where subscriptions auto-renew, you will be able to manage or cancel them through your platform account settings. This section will be updated with full subscription terms before any charges are made.
8. Acceptable use
You agree not to: (a) use the Service unlawfully or in violation of these Terms; (b) reverse engineer, scrape, or attempt to extract source code except as permitted by law; (c) disrupt or compromise the integrity or security of the Service; (d) access or misuse other users' data; or (e) use the Service to build a competing product. We may suspend or restrict access to protect the Service or its users.
9. Intellectual property
The Service, including its software, design, text, graphics, and the SOMA name and branding, is owned by SOMA and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms.
You keep your data. You retain ownership of the training and other data you create or provide. You grant us the limited rights needed to host, process, and operate the Service for you as described in the Privacy Policy.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output will be accurate or reliable.
11. Limitation of liability
To the maximum extent permitted by law, SOMA and its founders, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, or for personal injury, arising out of or related to your use of (or inability to use) the Service — even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the claim, or (b) USD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless SOMA from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Service or your violation of these Terms or applicable law.
13. Termination
You may stop using the Service at any time and may delete your account and data as described in the Privacy Policy. We may suspend or terminate your access to the Service, in whole or in part, at any time — with or without notice — if you violate these Terms, if needed to protect the Service or other users, or if we discontinue the Service. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
14. Changes to the service & terms
We are actively developing SOMA and may change, add, or remove features at any time. We may also update these Terms; when we do, we will revise the effective date and, for material changes, provide additional notice where appropriate. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
15. Governing law
These Terms are governed by the laws of [Governing-law jurisdiction, e.g. England & Wales — fill before launch], without regard to conflict-of-laws principles, except where mandatory local consumer-protection law applies to you. Any disputes will be resolved in the courts of that jurisdiction, unless applicable law provides otherwise.
